Fairness Opinions for Corporate Transactions

When there is a significant transaction in the stock of a corporation that may potentially be challenged legally by non-participating or participating shareholders, corporate counsel often advises that the board of directors should seek the advice and opinion of an outside independent financial adviser. Our extensive qualifications and experience provide a high level of defensibility.  Some of the services that we provide in this area are:

  • Working with the board of directors to advise it regarding a potential transaction in the stock of the company. This includes addressing valuation issues such as the price of the company’s stock and the financial structure of the transaction.
  • Rendering a fairness opinion to the board of directors, if appropriate, advising it as to whether the coming transaction is fair to the corporation and to the shareholders from a financial point of view.
